1. Acceptance of Terms
By accessing or using the Zenia platform ("Platform"), operated by Zenia Finance, Inc. ("Zenia", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Platform Description
Zenia provides an AI-powered supply chain finance marketplace that connects suppliers seeking early payment on approved invoices with accredited investors and financial institutions. Zenia is not a bank, lender, or financial advisor. Transactions on the Platform are subject to separate agreements between counterparties.
3. Eligibility
You must be at least 18 years of age and legally authorised to enter binding contracts on behalf of any business you represent. Use of the Platform is subject to KYB/KYC verification at Zenia's discretion.
4. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@getzenia.com if you suspect unauthorised access.
5. Acceptable Use
You agree not to use the Platform for unlawful purposes, to submit fraudulent invoices or misrepresent your identity or business, to interfere with Platform operations, or to reverse-engineer any part of the Platform.
6. Fees and Payments
Applicable fees are disclosed at the time of each transaction. Zenia reserves the right to update fees with reasonable notice. All transactions are subject to successful KYB/KYC verification and underwriting approval.
7. Intellectual Property
All Platform content, software, and technology is the property of Zenia Finance, Inc. You may not copy, modify, or distribute any part of the Platform without written permission.
8. Limitation of Liability
To the maximum extent permitted by law, Zenia shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the preceding 12 months.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
